• Products are shipped and travel at the Buyer's risk as soon as they have left our warehouses, even when they are delivered free. In the absence of a date specified by the Seller, delivery will be made within a reasonable time. The Seller will deliver the Products according to the lots or groups that he deems appropriate. Upon receipt of the order, the Buyer is required to check the condition of the Products in the presence of the carrier. In the event of any damage to the items delivered, it is the Buyer's responsibility to record the possible damage on the carrier's slip. Unless otherwise stipulated, the cost of transport, loading and unloading shall be borne by the Buyer. In the event of a refusal to unload an order placed by the Buyer, LC&S reserves the right to re-invoice the Buyer for the expenses incurred by such refusal (waiting time for the truck, the cost of returning the truck, handling and re-stocking costs, or any other additional cost incurred), except in cases of force majeure as defined herein. The Products delivered shall be deemed to be in accordance with the wishes of the Parties. In the event of non-acceptance of the Products by the Buyer, it is up to the Buyer to establish in writing and in a sufficiently substantiated manner that the Product does not correspond to that ordered. No return of goods is accepted unless LC&S has given a prior written agreement.
• No complaint will be accepted unless it is made by registered post within 48 hours of receipt of the order. If the Buyer fails to inform the Seller within the aforementioned period, the Products shall be deemed to be accepted as is. Hidden defects which could escape careful examination of the merchandise during this period should be reported immediately after discovery and no later than 4 weeks after receipt of the goods, and in the same form as for apparent defects. The Buyer shall not be entitled to remedy the defects without the prior consent of LC&S and in the absence of that consent, he shall not be entitled to any subsequent compensation of any kind, whether direct or indirect.
• If no other form of payment is stated on the invoices or PROFORMA, products are payable by bank transfer and without discount, prior to the delivery.
• All our invoices are payable in Tournai, Belgium. Our agreement regarding any other payment method does not affect this.
• LC&S is only liable for the execution of the orders it has accepted, provided that no circumstance or event beyond its reasonable control impedes its supply or shipment. In particular, total or partial strikes, riots, state of war, epidemics, pandemics, fires, floods, storms, heat waves, heavy thaw and natural disasters, health risks, transport interruptions, packaging, fuel, computer attacks or hacking and any other accident or force majeure, will authorise LC&S to defer or cancel all or part of the orders and deliveries without the Buyer being entitled to claim compensation or claiming any penalty in this respect.
• These Conditions and any contract based thereon, as well as any disputes or matters relating thereto, shall be governed and construed in accordance with Belgian law. The application of the Vienna Convention on the International Sale of Goods is expressly excluded. In case of dispute, the courts of Tournai are exclusively competent.
